TopDrawer Terms of Use

These terms are an agreement between you and Zest Mavericks ("we", "us", "our") about your use of TopDrawer (the "App"). Please read them before using the App. By downloading, installing or using the App you agree to them. If you do not agree, do not use the App.

1. The licence we give you

We grant you a personal, revocable, non-exclusive, non-transferable, limited licence to install and use the App on Apple branded devices that you own or control, for your own purposes or the internal purposes of your business, in line with these terms and the Usage Rules in Apple's App Store Terms of Service. Using the App at work, or on work material, is fine. Reselling it, or offering it as a service to other people, is not.

2. What the App does

TopDrawer is a private vault for the things you want to find again. It can:

• Save text, links, images, screenshots, PDFs and other files
• Accept them from the share sheet, from the clipboard, or from Shortcuts
• Read the text inside images and documents on your device, so it becomes searchable
• Suggest a title and tags for what you saved, on your device
• Search everything you have saved, including that recognised text
• Publish items to iPhone search (Spotlight), if you leave that switched on
• Answer Siri requests and provide Shortcuts actions
• Sit behind Face ID, Touch ID or your device passcode, if you switch that on

Features vary by device and by iOS version. On-device title and tag suggestions use Apple Intelligence where the device supports it, and fall back to a simpler method where it does not. The App works either way.

3. Your content stays yours

Anything you save in TopDrawer belongs to you. We claim no ownership of it and no licence to use it. It is stored in the App's own storage on your device. We have no server, no account system and no copy of your library, so we cannot read it, restore it or hand it to anyone.

You are responsible for what you put in it. Do not use the App to store anything unlawful, or anything you do not have the right to keep.

4. What TopDrawer is not

This matters more than the usual disclaimer, because people keep useful things in a drawer.

• It is not a backup. Deleting the App deletes everything in it. A device backup you have made through Apple may contain the App's data, but that is Apple's backup and your setting, not something we manage.
• It is not an encrypted password manager. What you save is protected by iOS file protection, your device passcode, and the App's optional lock. That is meaningful protection, and it is not the same as a dedicated password manager with its own encryption and master password. Use one of those for credentials that really matter.
• It is not medical, legal or financial advice, and the titles and tags it suggests are generated automatically and may be wrong.

5. The free drawer and Ultra

TopDrawer is free to download. A free drawer holds up to 30 saved items, and every feature works within it. Once it is full, the App stops accepting new saves until you remove something or upgrade; nothing you already saved is removed, hidden or held hostage.

TopDrawer Ultra removes the item limit. If you let an Ultra subscription lapse while holding more than 30 items, your items stay exactly where they are and remain searchable; you simply cannot add new ones until you are back under the limit or subscribed again.

6. Subscriptions, billing and the lifetime purchase

Ultra is sold through the App Store, as an auto renewing subscription on monthly or yearly terms, or as a one off lifetime purchase.

• The price, currency and billing period for your region are shown in the App before you confirm. Prices differ by country and can change; any change is shown to you before it takes effect.
• Payment is charged to your Apple Account when you confirm the purchase.
• Subscriptions renew automatically at the end of each period unless you cancel at least 24 hours before that period ends.
• If a free trial or introductory offer is available it is shown to you before you confirm. Unless you cancel at least 24 hours before it ends, it converts into a paid subscription at the price shown. Any unused part of a trial is forfeited if you buy a subscription before it ends.
• You manage and cancel subscriptions in your Apple Account settings, not in the App. Deleting the App does not cancel a subscription.
• The lifetime purchase is a single payment that does not renew. It is tied to your Apple Account and can be restored on your devices through the App.

Refunds. Apple, not us, processes payments and handles refunds for App Store purchases, under Apple's Media Services Terms and Conditions. Request one through Apple. Nothing here limits any cancellation, withdrawal or refund right you have under the consumer law of your country, including the statutory right of withdrawal available to consumers in the EU and the UK.

7. Things you may not do

• Copy, modify, translate, reverse engineer, decompile or disassemble the App, or try to derive its source code, except to the extent the law expressly allows despite this restriction.
• Rent, lease, lend, sell, sublicense or distribute the App, or make it available over a network to other people.
• Remove or obscure any copyright, trademark or other notice in the App.
• Use the App to store or process anything unlawful, or in any way that breaks the law where you are.
• Work around, disable or interfere with the free item limit, the purchase checks, or any security feature of the App.

8. Our intellectual property

The App itself, its code, design, name and logo belong to Zest Mavericks or our licensors. These terms give you a licence to use the App and nothing more. They do not give you any right to our trademarks, logos, domain names or brand features.

9. Apple's role

This agreement is between you and us, not with Apple. Apple is not responsible for the App or its contents. The following apply because the App is distributed through the App Store.

• Maintenance and support. We are solely responsible for any maintenance and support for the App. Apple has no obligation to provide either.
• Warranty. To the maximum extent permitted by law, Apple has no warranty obligation for the App. If the App fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price, if any. Beyond that, Apple has no other warranty obligation whatsoever for the App.
• Product claims. We, not Apple, are responsible for addressing any claim by you or a third party relating to the App or your possession or use of it, including product liability claims, any claim that the App fails to conform to a legal or regulatory requirement, and claims arising under consumer protection or similar legislation.
• Intellectual property claims. If a third party claims the App infringes their intellectual property rights, we, not Apple, are solely responsible for the investigation, defence, settlement and discharge of that claim.
• Legal compliance. You confirm you are not located in a country subject to a US Government embargo or designated as a "terrorist supporting" country, and that you are not on any US Government list of prohibited or restricted parties.
• Third party beneficiary. Apple and Apple's subsidiaries are third party beneficiaries of this agreement, and on your acceptance of it Apple has the right, and is deemed to have accepted the right, to enforce it against you.

10. Updates and iOS versions

We may release updates that add, change or remove features. TopDrawer requires a recent version of iOS, and a future update may raise that requirement. We are not obliged to keep supporting older versions of iOS or older devices indefinitely.

11. Warranties

The App is provided "as is" and "as available". To the maximum extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non infringement. We do not warrant that the App will be uninterrupted or error free, that text recognition or suggested tags will be accurate, or that it will meet your requirements.

Some countries do not allow the exclusion of implied warranties, so some of this may not apply to you. If you are a consumer, you keep every right you have under the mandatory consumer law of your country, and nothing here limits it.

12. Limits on liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill or data, arising out of or connected with your use of the App.

Our total liability for any claim connected with the App is limited to the greater of the amount you paid us for the App in the twelve months before the claim, or ten US dollars.

Nothing in these terms excludes or limits our liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be excluded by law.

13. Ending this agreement

You can end it at any time by deleting the App. We may end it if you materially breach these terms. When it ends, your licence ends and you must stop using the App. Sections about intellectual property, warranties, liability and governing law survive.

14. Governing law

These terms are governed by the laws of India, without regard to conflict of law rules. The courts at Bangalore, India have exclusive jurisdiction, except that if you are a consumer you may also bring proceedings in the courts of the country where you live, and you keep the protection of any mandatory consumer law there.

15. Changes to these terms

We may update these terms. We will change the date at the top and post the new version here. If a change materially reduces your rights, we will give reasonable notice in the App before it takes effect. Continuing to use the App after that means you accept the new terms.
